This Agreement applies to all information, content, materials, products, and services provided on or made available to you by or through Credentia.
Definitions
1.1 "Account Information" means the information provided by you during account setup and administration, including but not limited to contact details, usernames, email addresses, and billing information.
1.2 “Confidential Information” means all confidential information disclosed by a party ("Disclosing Party") to the other party ("Receiving Party"), whether orally or in writing, that is designated as confidential or a reasonable person would consider confidential. Confidential Information includes all information concerning: the Disclosing Party's customers and potential customers, past, present or proposed products, marketing plans, engineering and other designs, technical data, business plans, business opportunities, finances, research, development, and the terms and conditions of this Agreement. Confidential Information does not include any information that (i) is or becomes generally known to the public without breach of any obligation owed to the Disclosing Party, (ii) was known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any obligation owed to the Disclosing Party, (iii) is received from a third party without breach of any obligation owed to the Disclosing Party, or (iv) was independently developed by the Receiving Party. Subject to the foregoing exclusions, Customer Data will be considered Confidential Information under this Agreement regardless of whether or not it is designated as confidential.
1.3 "Credentia," "we," "us," or "our" refers to Credentia Verification Technologies Private Limited., the provider of the Services, its Affiliates, Licensors, Employees, Agents, Directors.
1.4 "Customer," "you," or "your" means the individual or entity that has entered into an agreement with Credentia to use our Services its Affiliates, Licensors, Employees, Agents, Directors, Clients, Contractors, Vendors (BV Agencies) or Prospective Employees (Candidates)
1.5 "Customer Content" means any data, files, information, or other content that you upload, transmit, or otherwise store or display via the Services, excluding Account Information.
1.6 Master Services Agreement, MSA: Credentia’s Master Services Agreement which provides the terms on which we provide the Services, if you choose to avail them
1.7 “Personal Data” or “Personal Information” means any information relating to an identified or identifiable individual where such information is protected similarly as personal data, personal information, or personally identifiable information. This includes the Personally Identifiable Information of candidates or employees whose background verification is being conducted using Credentia and its Services.
1.8 "Services" means the services provided by Credentia—including our software platform that automates the process of background verification (such as CredCorp and CredOps)—accessible through https://credentiai.com.
1.9 “Users” means your employees, representatives, consultants, contractors, prospective employees (candidates), vendors (BV Agencies), Clients or agents who are authorized to use the Services for your benefit and have unique user identifications and passwords for the Services.
Provision of Services
2.1 Scope of Services: Credentia provides a digital platform that integrates and automates the industry processes utilised for background verification of potential or existing employees for Customers. Credentia acts solely as a facilitator. We do not conduct background checks in any manner nor do we automate the background verification process, nor do we interact with candidates; rather, we enable the secure exchange, storage, and processing of information between stakeholders such as hiring entities and background verification agencies. 2.2 Subject to your compliance with this Agreement and Credentia’s MSA, Credentia grants you a limited, non-exclusive, non-transferable license to access and use the Services solely for their intended purposes.
2.3 You must ensure that all access, use and receipt by your Users is subject to and in compliance with this Agreement and the MSA. You must be 18 years of age or older to use the Services.
2.4 You will notify us promptly of any unauthorized use of your Users’ identifications and passwords or your account by writing to us at contact@credentiai.com
2.5 Credentia reserves the right to update, modify, or discontinue the Website and Services, or any aspect of them at any time. Should any changes materially affect the functionality of the Website or Services, we will endeavour to notify you via the registered administrator’s email associated with your account.
Data Handling, Privacy, and Consent
31. Data Collection and Use
- You own and retain all rights to the Customer Content and Personal Data. You grant permission to us and our licensors to use them to provide the Services to you, as permitted by this Agreement, and as permitted by applicable law. If you are using the Services or on behalf of another party, then you represent and warrant that you have all sufficient and necessary rights and permissions to do so.
- We may collect information when you interact with the Services as permitted by the Agreement.
- We may use Customer Content and Personal Data to support and develop AI features and functionality within the Services and similar products and services that rely on machine learning. You permit us to use Customer Content and Personal Data for such purposes. You may opt out of this by writing to us at the contact email mentioned in this Agreement
- In addition to the aforementioned terms, by using Credentia and the Services you acknowledge that as Credentia does not interact directly with candidates and employees, it is the responsibility of you—the Customer—to obtain the necessary consents from candidates or employees for the collection, storage, and sharing of their PII with Credentia. Your agreement with such individuals must address these requirements and you indemnify Credentia for any loss suffered by your failure to do so, if any.
3.2 Data Security:
We implement industry-standard security measures—including encryption for data in transit and at rest, multi-factor authentication, and regular security audits—to safeguard your data. However, no method of electronic transmission or storage is 100% secure, and you acknowledge and accept that risk. 4.1 Intellectual Property
4.1.1 Ownership:
- Credentia Platform and its Services: These Terms and Credentia’s MSA are agreements for access to and use of the Credentia Platform and its Services, and you are not granted a license to any software by this Agreement. We retain all intellectual property rights to Credentia Platform and the Services, and any other products or services provided under this Agreement. You agree not to copy, rent, lease, sell, distribute, or create derivative works based on the Credentia Platform and the Services in whole or in part, by any means, except as expressly authorized in writing by us. You also agree that you shall not use trademarks without our prior written permission.
- Customer Content and Personal Data: All intellectual property rights in the information provided by you to avail the Services belongs to you or to the person or entity to whom the information pertains, as the case may be and Credentia shall have no rights in respect thereof.
Payment and Subscription
5.1 Subscription Fees: Access to the Services is subject to the usage fees as set out in the pricing section of the website, which can be viewed at the link below:

5.2 The Subscription Fee will remain fixed during the term of your subscription unless (i) you exceed your usage limits or, (ii) you upgrade products or base packages, (iii) you subscribe to additional features or products.
Confidentiality
6.1 Confidential Information Obligations: The Receiving Party will protect the Disclosing Party’s Confidential Information in the same manner and taking the same care as it would of its own confidential information of a similar nature. The Receiving Party shall use the Confidential Information of the Disclosing Party only for the purposes of this Agreement. The Receiving Party shall not disclose the Confidential Information of the Disclosing Party to any third party except the service providers used by the Disclosing Party to provide any of the Services and only for the purpose of this Agreement. The Receiving Party shall limit access to of the Confidential Information of the Disclosing Party to those of its employees, affiliates, contractors, Clients, prospective employees (candidates), Vendors (BV Agencies) and agents who require such access for the purposes of this Agreement and who are bound by Confidentiality Agreements with the Receiving Party with terms as stringent as those contained in this Agreement.
6. 2 The Receiving Party may disclose the Disclosing Party’s Confidential Information only if required to do so by law and only with sufficient prior notice to the Disclosing Party so as to enable it to take such measures as may be advised to it.
Indemnification
7. 1 You will indemnify, defend and hold Credentia harmless, from any claim, demand, suit or proceeding made or brought against Credentia (and its officers, directors, employees, agents, service providers, licensors, and Affiliates) which is based upon or arises out of
- Your unauthorized or illegal use of the Website by you or your Affiliates.
- Noncompliance with or breach of this Agreement.
Disclaimers and Limitation of Liability
8.1 We warrant that Credentia’s Services will be provided in a manner consistent with generally accepted industry standards.
8.2 Except as stated in this Agreement, Credentia makes no claim, representation or warranty about the suitability, reliability, availability, timeliness, security, accuracy or completeness of the Services and the same are provided on an ‘as is’ ‘where is’ basis.
8.3 To the fullest extent permitted by law, neither Party shall be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Services.
Applicable Law and Jurisdiction
9.1 These Terms shall be governed by and construed in accordance with the laws of India and subject to the jurisdiction of the Courts in Mumbai.
Communications
10.1 When you use Credentia or communicate with us via email, chat, or any other medium, you consent to receive communications from us electronically.
We will communicate with you via email or by posting notices on the Credentia website or, when the same pertains to a specific Customer, to the Customer’s portal. Such electronic communications are deemed to satisfy any legal requirement that communications be in writing.
Amendments
11.1 Credentia reserves the right to modify these Terms at any time. Any material changes will be communicated via email or a prominent notice on our website. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms.
Miscellaneous
12.1 Entire Agreement: This Agreement constitutes the entire agreement between you and Credentia with respect to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written.
12.2 Force Majeure: Neither party will be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, acts of war, or other Force Majeure events. In such cases, performance dates will be extended for a period equal to the delay.
12.3 Severability: If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.
12.4 Relationship of the Parties: The relationship between you and Credentia is that of an independent contractor. Nothing in this Agreement shall be construed as creating a partnership, joint venture, or agency relationship.
